1. Introduction
These Terms and Conditions (the "Terms") govern the relationship between Arrox Logistics ("Arrox", "We", or "Us") and the individual or entity providing courier services on behalf of Arrox (the "Courier" or "You"). By accepting delivery assignments from Arrox, you agree to be bound by these Terms.

Please read these Terms carefully before accepting any delivery or assignment. If you do not agree to these Terms, you should not provide courier services for Arrox.

2. Definitions
Arrox: Refers to Arrox Logistics, its employees, contractors, and affiliates.
Courier: Refers to the individual or entity engaged to carry out delivery services on behalf of Arrox.
Goods: Any products, materials, or items that the Courier is responsible for delivering.
Services: The courier, transportation, and delivery services provided by the Courier to Arrox’s customers.
Client: The recipient of the Goods, on whose behalf Arrox and the Courier perform delivery services.

3. Courier’s Responsibilities
Professional Conduct: Couriers are expected to behave professionally and courteously when interacting with clients, Arrox staff, and the general public.
Timely Deliveries: Couriers must complete deliveries within the agreed timeframe unless unavoidable delays occur. Any delay or failure to deliver must be promptly reported to Arrox.
Goods Handling: Couriers must take reasonable care when handling goods to prevent loss, damage, or deterioration. If temperature-controlled goods are part of the delivery, Couriers must follow all instructions to maintain appropriate conditions.
Vehicle Maintenance: Couriers must ensure that any vehicle used for delivery (whether electric or traditional) is roadworthy, properly maintained, and fully compliant with all relevant laws and regulations.
Safety Compliance: Couriers must adhere to all road safety regulations, including speed limits, driving hours, and the proper use of protective equipment when using bicycles or motorbikes.
Delivery Confirmation: Couriers must obtain proof of delivery (e.g., electronic signature, photo evidence) as required by Arrox and submit this proof promptly after delivery.

4. Arrox’s Responsibilities
Job Assignment: Arrox will provide Couriers with clear instructions, including the location, recipient information, and any special handling requirements for deliveries.
Payment Terms: Arrox will compensate Couriers at the agreed rate for services rendered. Payment terms and methods will be outlined in the contract or service agreement.
Support: Arrox will offer necessary support, including customer communication and dispute resolution, to ensure smooth delivery operations.
Liability Coverage: Arrox will provide appropriate liability coverage for the goods during delivery, subject to any limitations specified in these Terms.

5. Compensation and Payment
Rates: The Courier will be compensated at the rates agreed upon in writing between Arrox and the Courier. Rates may vary based on delivery distance, weight, and urgency of the delivery.
Payment Schedule: Payments will be made on a [weekly/fortnightly/monthly] basis, subject to the submission of delivery proof and completion of assignments.
Expenses: Unless otherwise agreed, Couriers are responsible for their own operating expenses, including fuel, vehicle maintenance, and insurance costs.
Taxes: Couriers are responsible for declaring their income and paying any applicable taxes or National Insurance contributions as independent contractors or self-employed individuals, unless otherwise agreed in a separate employment contract.

6. Insurance
Courier’s Insurance: The Courier is required to hold valid motor vehicle insurance, including goods-in-transit insurance, if applicable. The Courier must also hold any additional insurance required by law or appropriate for the nature of their work.
Goods Insurance: Arrox will provide insurance for the Goods in transit, subject to certain limitations. In the event of loss or damage caused by Courier negligence, the Courier may be liable for costs or compensation claims.

7. Use of Electric Vehicles and Bikes
Compliance with Guidelines: Couriers operating electric vehicles or bicycles provided by Arrox must comply with all operational and maintenance guidelines provided by Arrox.
Charging Protocols: Couriers using electric vehicles are responsible for ensuring the vehicle is adequately charged for each assignment. Couriers must follow Arrox’s charging protocols and report any charging issues immediately.
Eco-Friendly Practices: Arrox encourages Couriers to adopt eco-friendly driving practices (e.g., minimising idling, using energy-efficient routes). Couriers are expected to participate in Arrox’s sustainability initiatives where applicable.

8. Confidentiality and Data Protection
Confidentiality: Couriers agree not to disclose or misuse any confidential information received during the performance of their duties, including but not limited to customer details, delivery instructions, and Arrox’s business operations.
Data Protection: Couriers must comply with all applicable data protection laws, including the UK GDPR, when handling customer information. All customer data must be securely stored and transmitted in accordance with Arrox’s data protection policies.

9. Loss or Damage of Goods
Courier Responsibility: The Courier is responsible for the safe transport of Goods. Any loss, theft, or damage caused by negligence or misconduct may result in the Courier being held liable for the cost of the goods or compensation to the customer.
Reporting Issues: The Courier must report any incidents involving the loss or damage of Goods to Arrox immediately. Arrox will investigate the matter and determine any liability or compensation.

10. Termination of Services
Termination by Arrox: Arrox reserves the right to terminate its relationship with the Courier at any time for reasons including, but not limited to, poor performance, breach of these Terms, or any illegal or unsafe conduct.
Termination by Courier: The Courier may terminate their relationship with Arrox by providing 14 days' written notice, unless otherwise agreed. All outstanding assignments must be completed before termination takes effect.
Immediate Termination: Either party may terminate the agreement without notice if there is gross misconduct, fraud, or another serious breach of contract.

11. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in accordance with the Arbitration Act 1996. Arbitration shall take place in England and Wales. Each party will bear its own legal costs unless otherwise directed by the arbitrator.

12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Amendments
Arrox reserves the right to amend or modify these Terms and Conditions at any time. Any changes will be communicated to the Courier in writing, and continued engagement with Arrox after such changes will constitute acceptance of the revised Terms.
